You understand and agree that our Software and Service is provided "AS-IS" and that MTI assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings. MTI provides its service to you subject to the following Terms & Conditions, which may be updated by us from time to time without notice to you.

Provided you follow these basic terms and conditions outlined below, MTI grants you permission to reproduce and sell the Desktop Snooper software. You agree and understand that your royalty free license, including your Control Panel and website provided to you by MTI can and will be revoked immediately for violating any of the following terms and conditions:

1. Selling Desktop Snooper below are mandatory price of $49
2. Altering the Desktop Snooper software in any way.

You agree to indemnify and hold MTI, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of claims you make on your website, or verbally, including disputes arising as a result of your software sales, your violation of the Terms & Conditions, or your violation of any rights of another.

TERMINATION
You agree that MTI may, under certain circumstances and without prior notice, immediately terminate your Desktop Snooper/MTI account, any associated website, control panel and access to the service. Cause for such termination shall include, but not be limited to, (a) Selling Desktop Snooper or any of MTI software below our mandatory pricing. (b) Decompiling, reverse engineering or any way altering any MTI software product (c) relabeling, alteration, or removal of any text including website links to the MTI corporate website. Further, you agree that all terminations for cause shall be made in MTI's sole discretion and that MTI shall not be liable to you or any third-party for any termination of your account, any associated website, control panel, or access to the Service.

These Terms and Conditions shall continue in effect for as long as you use the Products and Services, unless specifically terminated earlier by MTI. All provisions of these Terms and Conditions which impose obligations continuing in their nature shall survive termination of these Terms and Conditions.

MTI reserves the right to modify the Products and Services from time to time, for any reason, and without notice, including the right to terminate the Products and Services. MTI reserves the right to modify these Terms and Conditions from time to time, without notice. Please review these Terms and Conditions from time to time so you will be apprised of any changes.

MTI reserves the right, in its sole discretion, to terminate your access to all or part of this site, with or without notice.
